Hogan & Associates proudly represents our Client in this
confidential search Sr. Director, Tax (Head of Tax). Reporting to
the Principal Accounting Officer, you will oversee and direct the
Company's tax affairs to minimize total tax expense and cash
impacts within full compliance of the law, comprising federal/state
income, real estate, and sales/use tax for a 6B+ company.
DESCRIPTION:As the Head of Tax, you will advise CEO, CFO, and
PAO/Controller on all tax matters relating to financial statements,
financial planning, and accumulation of records for all divisions
and subsidiaries of the Company. Advises Treasurer concerning tax
aspects of financial products, cash flow impact of tax payments and
cash flow impact of partner tax distributions. Consults Secretary
and General Counsel on tax implications of contracts, corporate
structures of subsidiaries and tax litigation, and Human Resources
on tax matters that impact current and proposed benefit plans.
Advises Senior Management Team regarding tax legislation and
planning related to assigned areas. Informs Governing leaders of
book/tax differences impacting tax distributions and meeting
demands for their tax compliance reporting.
As the leader you will handle and administer the Company's complex
tax matters including intricate compliance issues, analysis of
legislation, court cases and government regulations, rulings, and
pronouncements. Developing creative and cost-effective solutions to
complex tax issues while facilitating the implementation of Company
policy and long-term goals.
As the Sr. Director, Tax you and your team of 15+ (4 direct
reporting managers) you will oversee the quantifying, reporting,
and remitting of income and property taxes of over $400 million.
Manage the development and communication of tax return strategies
to preserve the Company's interests relative to sales/use and
payroll related taxes more than $1+ billion annually.
- Formulates and recommends tax policies of the Company for
approval of Senior Management. Implements approved tax policies of
the Company and directs tax administration for the enterprise.
- Develops detailed knowledge of all tax laws and regulations
affecting the Company, its Stores and subsidiaries in every
country, state, and municipality where business is conducted.
Ensures that the Company is in compliance with all tax laws.
Applies in-depth expertise as to partnership income tax return
preparation, filing, and partner K-1 requirements.
- Directs compilation of data for preparation of all Company tax
reports and returns; approves completed forms for payment; and
maintains the official tax records and accounts of the
- Interprets applicable tax laws and regulations. Institutes
Rulings Requests, inquiries, protests, and requests for
reconsideration to federal, state, or municipal tax authorities,
and represents the Company at Internal Revenue Service and State
Tax Commission hearings.
- Directs studies of specific applications of tax laws to various
Company units and to the Corporation and determines approaches to
achieve the greatest economics. Advises Stores and offices
regarding tax liabilities, and instructs on procedures for
collecting, paying, and reporting taxes where appropriate.
- Advises senior management of significant changes, additions to
and deletions from all pertinent tax laws; advises of effects on
Company operation; and recommends, as appropriate, new, or
different courses of action. Informs senior management and Treasury
concerning partner cash distributions for tax requirements and
- Maintains appropriate ongoing liaison with partner tax groups
including best practices and benchmarking in the property tax area
and other areas of common interest.
- Works closely with federal and state auditors and other
representatives of taxing authorities engaged in review or audit of
Company tax returns and pursues all claims for tax refunds and

establish liaison with other corporation tax executives to plan
basic tax policy recommendations for the retail industry.
- Manages transaction taxes comprising property and sales/use tax
to comply with filing deadlines and responds to regulator's audit
KNOWLEDGE AND SKILLS:Required education: A bachelor's degree in
accountingGraduate work in taxation desired.Experience: A minimum
of 15 years significant experience within area of expertise.
Experience should include diversified and increasingly responsible
positions in tax department for large public company, private
equity owned company, major public accounting firm, with exposure
